DEALER CONDITIONS & CONTRACTUAL NOTES

You may not advertise our products in print or on websites at a price lower than the MSRP (Manufacturer Suggested Retail Price) unless we have agreed otherwise. As a retail dealer for our products, you may sell to end users, but you do not have the right to wholesale or otherwise transfer our products to third parties, act as a distributor to other dealers—without first obtaining a written agreement conferring this right from us. As an authorized dealer of our products you may not sell our products on eBay or Amazon. You may not register domain names containing the name MindPlace® or of any of our product names - Kasina, Limina, or Ganzframes for example, or take any actions which could be construed as re‐branding our products or the MindPlace® mark.

MindPlace® has an exclusive distribution arrangement in the following countries: Germany, Taiwan, Netherlands, Japan, China, France and Canada. You may not sell our products to individuals or dealers in those countries. We assume that our dealers will always follow ethical practices in promoting our products.

PAYMENT TERMS

Prepayment in US Dollars is required on all orders before they are shipped. You can use money orders, business check (may need to clear our bank for an initial period), VISA, MasterCard, PayPal or Bank Wire – please note that bank wire sending fees are paid by you ‐ we pay the receiving fees.

SHIPPING & IMPORTING

It is your responsibility to ensure that appropriate import permits/licenses are in place (if required) at the time of order if you are outside the USA. Failure to do so may result in the shipment being held at the border and then returned to the sender. In the case of a shipment being refused at the border, you will be charged for any return shipping/handling costs.

WARRANTY, REPAIRS AND RETURNS

We strive to produce the best equipment for the price, and we offer a two-year parts and labor warranty for electronic consoles. We will repair or replace defective consoles within that warranty period. The warranty period for Ganzframes and accessories remains at one year. Items no longer covered by our warranty may be repaired or replaced for a fee.

LIMITATION OF DAMAGES:

If, notwithstanding the foregoing, there should arise any question of liability on the part of the manufacturer or seller, the purchaser agrees that such liability will be limited to the cost of replacement of the products purchased.

PURCHASER REPRESENTATION

The purchaser represents that he/she is of legal age and is legally competent to understand and agrees to the terms set forth herein, and that the terms are contractual and not merely recital. The purchaser has read or will fully read the product User’s Guide before using any MindPlace product. Use of these products constitutes acceptance of all the terms of this Warranty, regardless of whether or not the Product has been formally registered. AGREEMENT AND SIGNATURE

I affirm that I have read and understood the Terms & Conditions. I acknowledge that I am solely responsible for purchase and payment of items from MindPlace, and that I will abide by these rules. I understand that violation of any of these conditions may lead to termination of dealership.
